National Youth Council of Namibia

The National Youth Council of Namibia is established in terms of the National Youth Council Act, 3 of 2009 to provide for the establishment of youth forums, facilitate the registration of youth organizations and associations as affiliates to the Council and address incidental matters that strengthen youth development and participation. The Council currently has a vacancy and warmly invites interested, passionate, and qualified individuals to apply.
Position: Manager: Company Secretary and Legal Advice Services (Five (5) years fixed term contract)
Duty Station: Head Office, Windhoek
Grading System: D3 (Patterson Grading)
Purpose and Reporting:
The purpose of the Company Secretary is to advise the Board of Directors on corporate governance matters, provide logistical support include minute taking for the Board and its Committee, and coordinate legal advice and litigation processes for both the Board and Council. Additionally, to ensure the Council’s compliance with legal and regulatory requirements and support the Board of Directors in fulfilling its governance responsibilities.
Key Performance Areas:
- Advise the Board on corporate governance, legal and regulatory compliance.
- Maintain all Councils records and documentation, including its committees.
- Accurately record the proceedings of meetings, including discussion, decisions and actions and distribute minutes to Board of Directors.
- Organise and manage all logistical arrangements for Board meetings, ensuring that all necessary materials are available.
- Oversees the development, review and implementation of all relevant policies, procedures and protocols.
- Acts as the primary advisor on lawful business conduct, conflict of interest and corporate planning and strategy development.
- Advises the Board of Directors on their legal and corporate governance responsibilities.
- Ensure that the Council complies with all its regulatory and stator obligations.
- Offers legal advice and support to the Director, Board of Directors and senior management on various corporate and commercial issues, ensuring that decisions are legally sound.
- Drafts, reviews, and negotiate contracts, agreements, and other legal documents to protect the Council’s interest and mitigate risks.
- Manage litigation and dispute resolution processes, coordinating with external legal counsel to represent the Councils interest effectively.
- Monitors legislative and regulatory changes that could impact the Council and advising on necessary actions to maintain compliance.Manage board meetings.
Educational Qualifications & Experience Required:
- Bachelor of Laws (LLB) degree or related qualification at NQA level 8.
- Admission as a Legal Practitioner of the High Court of Namibia in terms of the High Court Act, 1990.
- Code B driver’s license.
- Ten (10) years relevant experience of which (5) years’ should have been in a corporate environment as company secretary.
